About This Platform
Clockwork Auto Auctions is a dealer-to-dealer vehicle auction platform and a Buy Now marketplace for approved public customers. Licensed Ontario dealers can list vehicles for auction and bid on vehicles listed by other dealers. Approved members of the public can buy vehicles that have a Buy Now price and submit offers on listings.
The platform operates in Ontario, Canada. All accounts, listings, transactions, and disputes are subject to Ontario law.
Platform Role and Liability
Platform role. Clockwork Auto Auctions is a facilitation platform that connects buyers and sellers of vehicles. For transactions above $5,000, Clockwork Auto Auctions facilitates the transfer of funds via wire transfer between the parties. For transactions of $5,000 or under, payment is processed via Stripe.
No liability for vehicle condition. Clockwork Auto Auctions does not inspect, own, or warrant any vehicle listed on the platform. All condition disclosures — including engine condition, transmission condition, AC, heat, CARFAX history, and mechanical condition — are provided directly by the seller. Clockwork Auto Auctions is not liable for inaccurate, incomplete, or false disclosures by any seller, except through the arbitration process described in these terms.
No liability for transaction completion. Once a wire transfer instruction has been provided to a buyer, Clockwork Auto Auctions is not liable for delays or errors caused by the buyer's or seller's own banking institution.
Limitation of liability. To the fullest extent permitted under Ontario law, Clockwork Auto Auctions, its operators, and affiliates are not liable for any indirect, incidental, or consequential damages arising from use of the platform, including but not limited to lost profits, vehicle defects discovered after sale outside the arbitration window, or delays in wire transfer processing by third-party banks.
Binding bids and offers. Placing a bid, submitting an offer, or completing a Buy Now purchase constitutes a binding commitment to complete the transaction under these terms. The account's payment method or wire transfer obligation may be enforced through the non-payment fee and fallback process described elsewhere in these terms.
Arbitration as exclusive remedy. Arbitration, as described in the arbitration section of these terms, is the exclusive remedy for undisclosed vehicle condition issues between dealer accounts. A successful arbitration results in a refund of the vehicle price (plus the HST charged on it) only, excluding all platform fees and the HST on those fees, which are non-refundable.
Who Can Use This Platform
There are two types of accounts. Both are reviewed and approved by Clockwork Auto before any purchasing feature becomes available.
- Dealer accounts are for OMVIC-registered Ontario motor vehicle dealers. Dealers can list vehicles, place bids in live auctions, use Buy Now, and open arbitration on dealer-to-dealer sales.
- Customer accounts are for approved members of the public. Customers can list vehicles for auction and buy vehicles through Buy Now. Customers cannot place bids, open arbitration, or view bid history. Bidding is available exclusively to approved dealer accounts.
Dealer Account Requirements
To register a dealer account you must provide:
- Your OMVIC Dealer Registration Number
- Your Dealer RIN (Registrant Identification Number)
- Your HST number
- A government-issued photo ID
- A void cheque
- A valid payment card kept on file
You may optionally provide an Interac e-Transfer email address to receive seller payouts. Every dealer account is manually reviewed and approved by Clockwork Auto before access is granted. By registering, you confirm that you are a currently registered OMVIC dealer acting in that capacity and that all information you provide is accurate.
Customer Account Requirements
To register a customer account you must provide:
- Your full name
- Your email address
- Your phone number
- A government-issued photo ID
- A void cheque
- A valid payment card kept on file
You may optionally provide an Interac e-Transfer email address. Every customer account is manually reviewed and approved by Clockwork Auto before Buy Now becomes available.
Listing Requirements
Every listing must include all of the following before it can be published:
- Photos from every angle of the vehicle
- Clear photos of all rust spots, dents, and body damage
- A video with the engine running, showing that the engine starts and runs
- A video of the transmission shifting through gears (Park, Drive, Reverse)
- A Vehicle History Report — either a verification/history link (such as a CARFAX report) or at least one supporting image (service record, history report, or receipt)
- The rocker panel and subframe condition, with dedicated photos of any holes or damage
- The AC condition — working or not working
- The heat condition — working or not working
- The transmission condition — smooth shifting, slipping, or any known issues
- The engine condition — any known issues, recent repairs, or oil consumption
- All five mandatory OMVIC disclosures: branding status, accident damage over $3,000, previous out-of-province registration, stolen-and-recovered history, and any other known issues
Dealer listings must additionally include full CARFAX structure disclosure showing any structural damage history.
Bidding Rules
Only approved dealer accounts may place bids. Sellers cannot bid on their own listings. Every bid is binding: the highest bidder when the auction closes is obligated to complete payment within 24 hours.
Sniping protection applies to all auctions. A bid placed within the final 30 seconds resets the auction end time to 30 seconds from that bid. This continues until no bid is placed for 30 seconds.
Buy Now Rules
Both dealer and customer accounts may use Buy Now on listings that have a Buy Now price. Completing a Buy Now purchase is binding, and payment must be completed within 24 hours.
Making an Offer
Approved customer accounts may submit an offer on any listing, in addition to Buy Now. Each customer is limited to exactly 3 offer attempts per listing. When you submit an offer, the applicable public buyer fee and resulting total are shown before you confirm.
The seller is under no obligation to accept any offer. If the seller accepts, the vehicle is sold at your offer amount and the transaction proceeds through the same $5,000 payment threshold described below — Stripe at or under $5,000, wire transfer above. If the seller rejects and you have attempts remaining, you may submit a new offer. If your 3rd offer is not accepted, you cannot make further offers on that vehicle.
Payment Threshold: Stripe or Wire Transfer
Every completed transaction — a winning bid, a Buy Now purchase, an accepted offer, or a brokered negotiation deal — is routed by its total amount, including all applicable fees and 13% Ontario HST:
- $5,000 or under: payment is processed through Stripe. The buyer's card on file is authorized and held, then captured after Clockwork Auto verifies the transaction.
- Above $5,000: payment is settled by wire transfer facilitated by Clockwork Auto Auctions. Stripe is not used for the vehicle transaction. The buyer receives Clockwork Auto's receiving bank details and must send the wire within 24 hours of the sale. Once Clockwork Auto confirms the funds have been received, it wires the seller's net proceeds to the seller.
The same 24-hour payment window and $99 non-payment fee apply regardless of which payment method is used. The non-payment fee is always processed through Stripe, regardless of the total deal size.
Non-Payment Policy
The highest bidder at auction close, a Buy Now buyer, an offer buyer, and a negotiated-deal buyer must complete payment within 24 hours. For deals of $5,000 or under this means completing the Stripe payment; for deals above $5,000 this means sending the wire transfer and marking it as sent.
If payment is not completed within that window, the buyer is charged a $99 non-payment fee to the payment method on file. This fee is always processed through Stripe, regardless of the total deal size. After the fee is charged, the vehicle is awarded to the next highest bidder (provided the reserve price is met, with a new 24-hour window), or, for a Buy Now or accepted offer, the listing simply reopens for other buyers. The $99 non-payment fee is non-refundable.
Reserve Price and Negotiation
All auctions require a reserve price, which is never disclosed to bidders. If the highest bid does not meet the reserve price at auction close, the auction enters a negotiation period facilitated by Clockwork Auto.
Both the seller and the highest bidder are contacted by the platform to explore a mutually agreeable sale price. Neither party is obligated to complete a sale during the negotiation period, and neither party sees the other's contact information or the reserve price. If no agreement is reached, the seller may relist the vehicle.
Fees
All platform fees are flat, tiered amounts based on the final sale price — never a percentage. The applicable fees are always shown at checkout before a purchase is confirmed. Transactions of $5,000 or under are processed via Stripe; transactions above $5,000 are processed via wire transfer facilitated by Clockwork Auto Auctions. The same fee schedule, 24-hour payment window, and $99 non-payment fee apply regardless of which payment method is used.
Ontario HST. 13% HST is charged on every vehicle purchase, calculated on the pre-tax subtotal (vehicle price plus the applicable buyer fee and processing fee). The HST amount is itemized at checkout, in the payment or wire instructions, and on the sale receipt, and is included in the total the buyer pays. 13% HST is also added to the flat service fees — the professional appraisal fee and the Detailed As-Is listing fee — so the amount charged for each of those is the stated fee plus HST. The $99 non-payment fee is a penalty and is charged flat, with no HST.
Dealer buyer fees. Charged to dealer buyers on every purchase:

Dealer buyer processing fee. A flat $39 is charged to the dealer buyer on every transaction, in addition to the tiered buyer fee above.
Dealer seller fees. Charged to dealer sellers when their vehicle sells:

Dealer seller processing fee. A flat $39 is charged to the dealer seller on every completed sale, in addition to the tiered seller fee above, and is deducted from the seller's proceeds.
Public buyer fees. Charged to customer accounts on Buy Now purchases. No processing fee applies to public buyers.

Customer sellers are never charged a seller fee or a seller processing fee — only dealer sellers pay seller-side fees.
Detailed As-Is listing fee. A flat $99 plus 13% HST is charged to the seller's card on file at the time a Detailed As-Is listing is published. This fee is non-refundable once the listing is live.
Non-payment fee. A flat $99, non-refundable, as described in the Non-Payment Policy above.
Detailed As-Is Listings
Detailed As-Is is an optional paid service for sellers. When a seller chooses it, they build a structured inspection breakdown listing every repair the vehicle needs to pass a safety inspection, one line at a time. Each line item includes the repair, the estimated parts cost, the estimated labour cost, and the type of mechanic needed. The listing then shows a full breakdown with total parts cost, total labour cost, and a grand total.
The $99 plus HST Detailed As-Is fee is charged to the seller at the time of listing. The complete breakdown is visible to all approved accounts viewing the listing before they bid or purchase. Choosing Detailed As-Is does not remove any disclosure obligation — every listing and arbitration requirement still applies.
Vehicle Pickup and Ownership Transfer
The winning buyer is responsible for arranging vehicle pickup from the seller's listed location within 3 business days of payment confirmation. Failure to arrange pickup within 3 business days must be communicated to the seller in advance.
Vehicles with an odometer reading exceeding 250 kilometres may not be driven from the seller's location without a valid Ontario safety certificate. It is the buyer's responsibility to arrange appropriate transport for any vehicle that cannot legally be driven.
The seller is responsible for providing the signed ownership documentation to the buyer within 7 business days of payment confirmation.
Arbitration
Arbitration is available exclusively between two dealer accounts. Public buyers cannot open or be subject to arbitration. A buying dealer may open arbitration on a completed auction they won within 7 business days of the auction closing. After 7 business days the option is no longer available.
The only valid grounds for arbitration are:
- Undisclosed transmission condition
- Undisclosed engine condition
- Incomplete or inaccurate CARFAX structure disclosure
- Undisclosed rocker panel condition
- Undisclosed subframe condition
- Undisclosed AC condition
- Undisclosed heat condition
These requirements apply even to Detailed As-Is sales. Clockwork Auto reviews the original listing disclosures against the reported condition and issues one of two outcomes: a refund of the vehicle price plus the HST charged on it to the buyer, excluding all platform fees and the HST on those fees, which are non-refundable (the buyer must return the vehicle to the seller), or a dismissal that closes the case with no refund. Both parties are notified of the outcome.
Platform Fees and Payment
For transactions of $5,000 or under, payments are processed through Stripe. When an auction closes, a Buy Now purchase is made, or an offer is accepted at or under this amount, the buyer's card is authorized and the funds are held by Stripe — nothing is captured yet. Clockwork Auto verifies each transaction before releasing it. Once verified, the payment is captured from the buyer's card, the buyer is charged the total shown at checkout, and the seller's net proceeds (sale price minus the seller fee and the seller processing fee) are remitted by the platform.
For transactions above $5,000, payment is settled by wire transfer facilitated by Clockwork Auto Auctions. The buyer wires the total amount (vehicle price plus applicable fees plus 13% HST) to Clockwork Auto's receiving account within 24 hours. After Clockwork Auto confirms the funds have been received, it wires the seller's net proceeds (sale price minus the seller fee and the seller processing fee) to the seller. No Stripe payment is created for the vehicle transaction in this case.
If a payment cannot be verified or is rejected, or a wire is not completed within the 24-hour window, the transaction may be reversed, awarded to the next eligible bidder, or the listing reopened, and the $99 non-payment fee applies.
Account Suspension
Clockwork Auto may suspend or terminate any account for: providing false registration information, submitting listings with materially inaccurate disclosures, failing to complete payment within the required window more than once, bid manipulation or shill bidding, or any conduct that violates Ontario law or these Terms of Service. Suspended accounts lose access to the platform. If you believe a suspension is in error, contact us to resolve it.
Privacy
Your information is handled as described in our Privacy Policy. Verification documents are used only to review your account and are never shared with other users.
Governing Law
These Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes are subject to the exclusive jurisdiction of the courts of Ontario.
